This website and store are operated by Empowered Research and Design LLC, a Texas limited liability company. In these Terms, "we", "us" and "our" mean Empowered Research and Design LLC. "People's Peps" identifies this website and product line. By visiting this site, creating an account, or placing an order, you agree to these Terms of Service and to our Research Use Policy, Shipping Policy, Returns and Replacements Policy, and Privacy Policy, which are part of these Terms. If you do not agree, do not use this site.

1. Who may use this site

You must be at least 21 years old to access this site or place an order, and you must be a qualified researcher, or purchasing on behalf of a laboratory, research institution, or business engaged in research, buying for in vitro laboratory research only.

A qualified researcher is an adult with the education, training, or supervised laboratory experience needed to handle research chemicals safely in a laboratory or other controlled research setting. Purchasing on behalf of a business does not by itself establish research qualification. We may ask for your institution or business name, research purpose, qualifications, facility information, or other reasonable verification before accepting or shipping an order, and we may cancel any order or close any account where we cannot confirm both age and research status.

2. What we sell and what it is for

Every product on this site is offered and intended only as a laboratory reagent for in vitro research. No product is offered or intended for human use, veterinary use, diagnostic use, administration to a person or animal, or any therapeutic, preventive, cosmetic, food, or household purpose. Our products are not approved by the U.S. Food and Drug Administration for human or veterinary use. Nothing on this site is medical advice, and nothing on this site should be read as a suggestion that any product be administered to a person or animal. Our full Research Use Policy is part of these Terms.

3. Your responsibilities as a buyer

By placing an order you confirm that you are 21 or older, that you are a qualified researcher or buying for one, that the products will be used only for in vitro laboratory research, that they will be handled only by trained personnel in a controlled research setting, and that you understand and accept the risks of handling research chemicals. You agree not to resell, relabel, or redistribute our products, and not to represent them as fit for any use we do not state. You are responsible for knowing and following the laws that apply where you are. We separately screen every order against our Research Use Policy and may decline to ship a product to a location where we believe it is restricted.

4. Accounts and records

You are responsible for the accuracy of your account information and for keeping your login private. You must tell us right away if you believe your account has been used without permission. We keep a record of your age and research attestations, the policy version you accepted, and the date, time, order, and account they relate to. We may close any account that violates these Terms.

5. Orders, acceptance, pricing and payment

All prices are in U.S. dollars and may change without notice. Applicable sales and use taxes are calculated at checkout. We honor a valid resale or exemption certificate only after we review and accept it; research status alone does not make a purchase tax-exempt. The name that will appear on your card statement is shown before you pay.

An order is not accepted until we complete payment, inventory, fraud, age, and research-status review and send you an order acceptance email. We may limit quantities, refuse or cancel any order, or close any account, at our discretion, including where we suspect resale, human or veterinary use, fraud, or a violation of these Terms. If we cancel an order we have already charged, we refund it in full. If a product is listed at an incorrect price or with incorrect information, we may cancel the order and refund you, even after your order is confirmed. Payment is due at the time of order. By providing a payment method you confirm you are authorized to use it.

If something is wrong with an order, please contact us first so we can investigate promptly. We may restrict accounts associated with fraud, abuse, or repeated disputes made in bad faith. Nothing in these Terms limits any right available to you through your card issuer or under applicable law.

ACH Debit Authorization for Order Payment

Each time I (the customer) places an ACH/e-Check order by clicking the "Place Order" button, I am authorizing peoplespeps.com to initiate a single ACH/electronic debit to my account in the amount of my order from the bank account information provided on the date of my order. I agree that ACH transactions I authorize comply with all applicable law. Payments made after 2 PM Eastern time will be applied as of the next business day. To complete the payment process, click the "Place Order" button. Once payment is authorized, there cannot be any changes or corrections. It is recommended that you print a copy of this authorization and maintain it for your records.

ACH Debit/Credit Authorization for Micro-Entries Used for Account Validation

Each time I (the customer) places an ACH/e-Check order by clicking the "Place Order" button, I am authorizing peoplespeps.com to initiate a one-time ACH/electronic debit and/or credit entry to my account for a micro amount (less than $1) in order to validate my bank account information provided on the date of my order. I also authorize peoplespeps.com to initiate an ACH credit to recover the amount of a micro deposit. I agree that such ACH transactions comply with all applicable law. Once you click the "Place Order" button, you cannot revoke this authorization. Payments made after 2 PM Eastern time may receive account validation micro entries the next business day. It is recommended that you print a copy of this authorization and maintain it for your records.

By ticking "I agree" on the cart page when you place your order, you agree to these Terms of Service, including this ACH Debit Authorization, and to our Shipping Policy and Returns and Replacements Policy.

6. Product information, lot records and testing

Before a lot is released for sale, we evaluate its identity, purity, and net content against our internal release specifications. Lots that do not meet those specifications are not offered or shipped. Published lot records show the underlying measurements, method, units, date, and laboratory without assigning a pass or fail label; the reader draws their own conclusion.

Our own lot records, when published, are identified by the lot number printed on the vial. The identity, stated quantity, and lot number of a product you buy are material facts and we stand behind them under our Returns and Replacements Policy. Reference information such as sequences, molecular data, literature notes and storage guidance is provided for research reference and we do not warrant that it is complete.

7. Shipping, returns and replacements

Shipping and delivery are governed by our Shipping Policy. Because we cannot verify storage conditions once a product leaves our facility, all sales are final after dispatch and we do not accept returns of shipped product. Instead we replace or refund items that arrive damaged, incorrect, or missing under our Returns and Replacements Policy, and we automatically replace or refund any lot we withdraw. You may cancel any order for a full refund until it has been tendered to UPS.

8. Wholesale and affiliate programs

Wholesale purchasing is by application and is governed by a separate written agreement. Any affiliate or referral program we may offer will have its own published terms. Nothing in these Terms creates a wholesale or affiliate relationship.

9. Reviews and user content

Reviews on this site are moderated. We accept reviews only about permitted attributes: packaging, order accuracy, dispatch speed, documentation, and whether the lot number on the vial matched the lot record. We apply the same standards to positive and negative reviews and do not edit a review to change its meaning. We remove content concerning human or veterinary administration, dosing, physical effects, health claims, unlawful activity, personal information, harassment, or content we reasonably believe is false or not based on a genuine transaction. Ratings attached to rejected content are not included in any displayed score. By submitting content you grant us a non-exclusive, royalty-free license to use it in connection with our business, and you confirm it is yours and does not infringe anyone's rights.

10. Electronic notices

You agree to receive order, shipping, safety, lot withdrawal, policy, and account notices from us electronically at the email address on your account. These operational notices are separate from marketing and continue even if you unsubscribe from marketing email or text messages.

11. Prohibited uses

You may not use this site or our products for any unlawful purpose; to administer, or to encourage the administration of, any product to a person or animal; to scrape, copy, or republish our content, lot records, or images without permission; to interfere with the site's security or operation; to impersonate another person or entity; or to submit false information, including about your age or research status.

12. Intellectual property

The People's Peps name, logo, site design, lot record format, photographs, and written content belong to Empowered Research and Design LLC or our licensors and are protected by law. You may not use them without our written permission. Molecule names, CAS numbers and sequences are scientific facts and are not claimed as ours.

13. Disclaimer of warranties

Except as expressly stated in these Terms and our Returns and Replacements Policy, our products and this site are provided "as is" and "as available" without warranty of any kind, express or implied, including any implied warranty of merchantability or fitness for a particular purpose. We do not warrant that any product is fit for any use other than in vitro laboratory research. We do not warrant that the site will be uninterrupted or error-free.

14. Limitation of liability

To the fullest extent permitted by law, Empowered Research and Design LLC and its members, managers, employees, contractors and suppliers are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss arising from the use, misuse, or inability to use any product or this site. Our total liability for any claim arising from an order is limited to the amount you paid for that order.

15. Rights that cannot be waived

Nothing in these Terms, including the final-sale rule, the warranty disclaimer, the limitation of liability, and the choice of Texas law, removes or limits any right you have under a law that cannot be waived by agreement. Where such a law applies, these Terms apply to the fullest extent it allows.

16. Indemnification

You agree to indemnify and hold harmless Empowered Research and Design LLC and its members, managers, employees, contractors and suppliers from any claim, loss, or expense, including reasonable attorneys' fees, arising from your breach of these Terms, your violation of any law, or any use of our products other than in vitro laboratory research.

17. Events outside our control

We are not responsible for delay or failure to perform caused by events outside our reasonable control, including carrier suspensions, severe weather, government action, supply interruption, or system outages. If such an event delays an order that has not shipped, you may cancel the unshipped items for a full refund.

18. Governing law and disputes

These Terms are governed by the laws of the State of Texas and the Federal Arbitration Act, without regard to conflict of law rules. Before starting any formal dispute, you agree to email us at info@peoplespeps.com describing the problem and give us 30 days to resolve it; we agree to do the same before starting a dispute with you.

Any dispute that is not resolved will be settled by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules and Consumer Due Process Protocol, available at adr.org. Filing and arbitrator fees are allocated under those rules; where they require it, we pay the arbitrator's fees. The arbitration is held in Travis County, Texas, or by video at your choice. You and we each waive the right to a jury trial and the right to participate in a class action or class-wide arbitration. Either party may bring an individual claim in small claims court instead. If the AAA is unavailable, the parties will agree on a substitute administrator or a court will appoint one. If the class waiver is found unenforceable for a particular claim, that claim will be heard in the state or federal courts located in Travis County, Texas, and you consent to their jurisdiction.

You may opt out of arbitration by emailing info@peoplespeps.com within 30 days after you first accept these Terms. Include your full name, account email, mailing address, and a clear statement that you are opting out of arbitration. Opting out affects only this arbitration provision. Later updates to these Terms do not restart the window.

19. Changes and which document controls

We may update these Terms at any time by posting the revised version on this page with a new effective date and version number. Your continued use of the site after a change means you accept it. Orders are governed by the Terms in effect when the order was placed. If these Terms conflict with the Shipping Policy or the Returns and Replacements Policy on a shipping or replacement question, the specific policy controls; on every other question, these Terms control.

20. General

If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce any part of these Terms is not a waiver of it. These Terms, together with the policies named above, are the entire agreement between you and us about your use of this site. You may not assign your rights under these Terms; we may assign ours in connection with a merger, acquisition, or sale of assets.
